By accessing this website you agree to these terms. If you do not agree, please do not use the site. Where we enter into a written engagement agreement, statement of work, or master services agreement with you, that document governs the services and prevails over these terms to the extent of any conflict.
The services we provide
FlowLogicX™ delivers transportation technology and systems integration, including TMS integration, telematics integration, ERP integration, accounting integration, enterprise systems integration, workflow automation, and related portals and support. Scope, timelines, fees, and acceptance criteria for any engagement are defined in the applicable statement of work.
Roadmap and forward-looking statements
Parts of this website describe capabilities that are in development, including our intelligence and analysis roadmap. Those descriptions are provided for information only, are clearly identified as roadmap items, and do not form a commitment, warranty, or contractual deliverable. Only capabilities expressly listed in a signed statement of work are contractually promised.
Website use
You may view and print pages of this website for your own business evaluation. You may not scrape, mirror, resell, or systematically extract content, attempt to gain unauthorized access, interfere with the operation or security of the site, or use it to transmit unlawful or harmful material.
Third-party platforms
Our work connects systems supplied by third parties, including TMS, telematics, ELD, ERP, and accounting vendors. We do not control those platforms, their APIs, their availability, their pricing, or their terms. Changes made by a vendor may affect an integration, and remediation may require additional work. You are responsible for holding valid licences and permissions for the systems we are asked to connect, and for the accuracy of the credentials and data you provide.
Client responsibilities
To deliver work on schedule we rely on you to provide timely access to systems and stakeholders, accurate information about your processes and data, prompt review of designs and test results, and the internal approvals needed to move a connection into production.
Fees and payment
Fees, rates, and payment terms are set out in the applicable quote or statement of work. Unless stated otherwise, invoices are payable within the terms shown on the invoice, taxes are additional, and work may be paused on overdue accounts.
Intellectual property
FlowLogicX™, our logo, this website, and our underlying platform, tools, methods, and reusable components remain our property. Subject to payment, you receive a licence to use the integrations, mappings, and documentation produced for you for your own business operations. Your data, your business records, and your own systems remain yours.
Confidentiality
Each party will protect the other's confidential information, use it only for the purposes of the engagement, and disclose it only to personnel and subcontractors who need it and are bound by equivalent obligations.
Warranties and disclaimers
We will perform services with reasonable skill and care, consistent with industry practice. Except as expressly stated in an engagement agreement, this website and its content are provided on an "as is" basis without warranties of any kind, and we do not warrant uninterrupted or error-free operation of third-party platforms or of interfaces affected by them.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, including lost profits, lost revenue, or loss of data arising from third-party platform behaviour. Our total aggregate liability arising from an engagement is limited to the fees paid for the services giving rise to the claim during the twelve months preceding it. Nothing in these terms limits liability that cannot lawfully be limited.
Indemnity
You agree to indemnify us against claims arising from your unlawful use of the services, from data or credentials you supply that you were not entitled to provide, or from your breach of a third-party platform's terms.
Suspension and termination
We may suspend or terminate website access for breach of these terms. Termination of an engagement is governed by the applicable statement of work. On termination we will provide reasonable assistance with handover of mappings, documentation, and credentials.
Governing law
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, and the courts of British Columbia have jurisdiction over any dispute, without limiting either party's ability to seek urgent injunctive relief elsewhere.
Changes
We may update these terms from time to time. The effective date above reflects the current version, and continued use of the site after an update constitutes acceptance.
